Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Remote Access Portal Solutions Extranet Portal and related services ("Services") provided by Remote Access Portal Solutions ("Remote Access Portal Solutions", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms.
1. Eligibility and Access
The Services are available exclusively to authorized users who have been granted access by their organization through a valid service agreement with Remote Access Portal Solutions. You must be at least 18 years of age to use the Services. Access credentials are personal and non-transferable.
2. Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your login credentials, including passwords and multi-factor authentication devices.
- All activities that occur under your account, whether or not authorized by you.
- Immediately notifying your organization's IT administrator and Remote Access Portal Solutions of any suspected unauthorized use of your account.
- Ensuring that your use of the Services complies with all applicable laws, regulations, and your organization's acceptable use policies.
3. Acceptable Use
When using the Services, you agree not to:
- Attempt to gain unauthorized access to any systems, networks, or data beyond your authorized scope.
- Interfere with, disrupt, or compromise the integrity or performance of the Services or related infrastructure.
- Use automated tools, scripts, or bots to access the Services without prior written authorization.
- Reverse engineer, decompile, or disassemble any aspect of the Services.
- Upload, transmit, or distribute malicious software, including viruses, trojans, ransomware, or other harmful code.
- Share, redistribute, or publicly disclose confidential information accessed through the portal.
- Use the Services for any unlawful purpose or in violation of any applicable international, federal, state, or local law.
4. Security and Monitoring
All use of the Services is subject to continuous security monitoring, logging, and auditing. By using the Services, you expressly consent to:
- The recording of all authentication attempts, session activity, and data access events.
- Automated analysis of usage patterns for anomaly detection and threat prevention.
- Investigation of suspected policy violations, which may include review of session logs and access history.
- Cooperation with law enforcement agencies in the event of suspected criminal activity.
Unauthorized access attempts will be logged, reported, and may result in immediate account suspension, termination of access, and referral to appropriate legal authorities.
5. Intellectual Property
The Services, including all software, content, design elements, trademarks, and documentation, are the exclusive property of Remote Access Portal Solutions or its licensors and are protected by applicable intellectual property laws. No license or right is granted to you by implication, estoppel, or otherwise, except as expressly set forth in these Terms or in a separate written agreement.
6. Service Availability
We strive to maintain high availability of the Services but do not guarantee uninterrupted or error-free operation. We reserve the right to:
- Perform scheduled and emergency maintenance with or without prior notice.
- Modify, suspend, or discontinue any aspect of the Services at any time.
- Restrict or terminate access for any user or organization that violates these Terms.
7. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VANTAGE NETWORKS DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT OPERATION WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VANTAGE NETWORKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.
In no event shall our total liability exceed the amount paid by your organization to Remote Access Portal Solutions under the applicable service agreement during the twelve (12) months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless Remote Access Portal Solutions, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Services, violation of these Terms, or infringement of any third-party rights.
10. Termination
We may suspend or terminate your access to the Services immediately, without prior notice, for any reason, including but not limited to a breach of these Terms, a security incident, or the expiration of your organization's service agreement. Upon termination, your right to access the Services will immediately cease.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the federal or state courts located in Wilmington, Delaware.
12. Changes to These Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via the portal or email notification at least 30 days prior to taking effect. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.
